Welcome to No Yard Sale, a local marketplace platform owned and operated by Prop Up Media LLC ("Prop Up Media LLC," "No Yard Sale," "Company," "we," "our," or "us").

1. Acceptance of These Terms

These Terms & Conditions ("Terms") govern your access to and use of the No Yard Sale website, mobile applications, software, content, communications, features, tools, payment services, and all related products and services (collectively, the "Platform").

By creating an account, browsing the Platform, accessing any feature, downloading the mobile application, scheduling a Meet Up, funding a Wallet, posting a listing, purchasing or selling an item, purchasing advertising, or otherwise using any portion of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Community Guidelines, Show Up Guarantee Policy, Payment & Wallet Policy, Prohibited Items Policy, and any additional policies or guidelines that we publish from time to time.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you and Prop Up Media LLC.

2. Definitions

For purposes of these Terms, the following definitions apply:

Account means a registered user account created to access the Platform.

Advertisement means promotional content purchased by a Business or Marketer Account for display on the Platform.

Appointment Hold Amount means a temporary hold placed against eligible Wallet funds to support participation in the Show Up Guarantee. The Appointment Hold Amount is determined by No Yard Sale and may change from time to time.

Business Account or Marketer Account means an account created for businesses wishing to advertise products or services on the Platform. Business Accounts are distinct from standard marketplace accounts and may have different features, permissions, and limitations.

Buyer means a user seeking to purchase an item or service through the Platform.

Content means any text, photographs, graphics, videos, audio, usernames, reviews, ratings, advertisements, comments, messages, or other material submitted to or displayed through the Platform.

Donation Listing means a listing created for property intended to be donated rather than sold.

Listing means any item, service, donation, or other offering published on the Platform.

Meet Up means an in-person appointment scheduled through the Platform for users to inspect, exchange, purchase, donate, or otherwise transfer an item or service.

Platform means the No Yard Sale website, mobile applications, software, APIs, content, communications, services, and all related functionality operated by Prop Up Media LLC.

Promoted Listing means a paid enhancement that may increase the visibility of a Listing within the Platform. Purchasing a promotion does not guarantee any minimum level of visibility, impressions, inquiries, or sales.

Seller means a user offering property or services through the Platform.

Services means all functionality made available by No Yard Sale, including but not limited to marketplace listings, messaging, Wallet services, appointment scheduling, advertising services, payment features, promotions, notifications, and related tools.

Show Up Guarantee means the marketplace protection program described in the separate Show Up Guarantee Policy, which is incorporated into these Terms by reference.

User, you, or your means any individual or entity accessing or using the Platform.

User Content means all Content submitted, uploaded, transmitted, or otherwise made available by a User.

Wallet means the digital account balance maintained within the Platform that may be used, where available, for eligible transactions, Appointment Hold Amounts, deposits, withdrawals, refunds, credits, or other supported payment activities.

3. About No Yard Sale

No Yard Sale is a technology platform that connects local buyers and sellers to facilitate in-person marketplace transactions.

Our mission is to help people buy, sell, and donate locally without the inconvenience of hosting a traditional yard sale.

The Platform allows eligible users to:

• Create marketplace listings.
• Create donation listings.
• Browse listings posted by other users.
• Search for items and services.
• Save searches and listings.
• Communicate through the Platform's messaging features.
• Schedule Meet Ups.
• Participate in the Show Up Guarantee, when eligible.
• Fund and use a Wallet, where available.
• Complete eligible in-app payment transactions.
• Record cash transactions.
• Purchase promoted listings.
• Create and manage approved business advertising campaigns.
• Receive notifications regarding listings, messages, appointments, and account activity.
• Access the Platform through supported web and mobile applications.

No Yard Sale is not the buyer, seller, owner, consignor, reseller, auctioneer, warehouse operator, shipping company, delivery company, broker, insurer, or guarantor of items or services listed by users unless expressly stated otherwise.

Except where specifically identified as a party to a transaction, Prop Up Media LLC merely provides technology services that allow users to discover one another and facilitate local transactions.

We do not inspect listed items before sale, verify ownership of every item, guarantee the quality or legality of listings, guarantee that users will complete transactions, or guarantee that users will act honestly or in good faith.

Users are solely responsible for evaluating listings, communicating with one another, complying with applicable laws, and deciding whether to proceed with any transaction.

4. Eligibility

To create an Account or use the Platform, you represent and warrant that you:

• Are at least eighteen (18) years of age, or otherwise have the legal authority to use the Platform under applicable law with the permission of a parent or legal guardian where permitted.
• Have the legal capacity to enter into binding agreements.
• Will comply with all applicable local, state, federal, and international laws.
• Are not prohibited from using our Services by any applicable law, regulation, court order, or governmental authority.
• Have not previously been suspended or permanently removed from the Platform unless expressly authorized by Prop Up Media LLC.

Business entities creating Business or Marketer Accounts represent that the individual registering the Account has authority to act on behalf of the organization.

We reserve the right to refuse registration, require additional verification, suspend access, or terminate any Account at our sole discretion where we believe continued access may create legal, financial, operational, or security risks for the Platform or its users.

5. Account Types

No Yard Sale offers multiple types of user accounts. Features available to each account type may vary and may change over time.

5.1 Individual Marketplace Accounts

Individual Marketplace Accounts are intended for users who wish to buy, sell, donate, or browse items and services through the Platform.

Depending on available features, Individual Marketplace Accounts may allow users to:

• Create and manage listings.
• Create donation listings.
• Browse marketplace listings.
• Save listings and searches.
• Send and receive messages.
• Schedule Meet Ups.
• Participate in the Show Up Guarantee, when eligible.
• Fund and use a Wallet.
• Receive payments through supported payment methods.
• Record cash transactions.
• Manage appointments.
• Maintain a public marketplace profile.
• Receive ratings and reviews.
• Report listings or users.
• Access supported web and mobile applications.

Additional features may be added, modified, or discontinued at any time.

5.2 Business and Marketer Accounts

Business Accounts (also referred to as Marketer Accounts) are designed for businesses, organizations, or individuals who wish to advertise products or services that are related to the No Yard Sale marketplace.

Examples include, but are not limited to:

• Moving companies
• Storage facilities
• Junk removal services
• Estate sale companies
• Donation organizations
• Cleaning services
• Packing services
• Real estate professionals
• Home services
• Other marketplace-related businesses approved by No Yard Sale

Business Accounts are not intended to function as standard marketplace buying and selling accounts unless expressly authorized by No Yard Sale.

Business Accounts may include features such as:

• Advertisement management
• Campaign management
• Advertisement image uploads
• Hyperlink management
• Advertising analytics
• Billing and payment management
• Other business-specific tools introduced by the Platform

Business Accounts may not receive a public marketplace profile.

Users may not convert a Business Account into an Individual Marketplace Account. If a user wishes to access marketplace features that are unavailable to Business Accounts, a separate Individual Marketplace Account may be required.

Prop Up Media LLC reserves the right to approve, reject, suspend, modify, or terminate any Business Account or advertising campaign at its sole discretion.

5.3 Administrative Accounts

Administrative Accounts are used solely by authorized personnel of Prop Up Media LLC.

Administrative Accounts may perform moderation, fraud prevention, customer support, dispute resolution, advertising review, financial administration, policy enforcement, and other internal functions necessary to operate the Platform.

Administrative Accounts may access information that is unavailable to standard users when reasonably necessary to:

• investigate fraud;
• resolve disputes;
• enforce these Terms;
• comply with legal obligations;
• maintain Platform security; or
• protect users and the Platform.

6. User Accounts

To access certain features of the Platform, you must create an Account.

You agree that all information provided during registration and throughout your use of the Platform will be accurate, current, and complete.

You are responsible for maintaining the accuracy of your account information, including your:

• name;
• email address;
• phone number;
• mailing address, where applicable;
• payment information;
• profile information; and
• any other information requested by the Platform.

Providing false, misleading, or fraudulent information may result in suspension or permanent termination of your Account.

6.1 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials.

You agree to:

• use a strong password;
• keep your login credentials confidential;
• log out from shared devices;
• promptly notify us of unauthorized access;
• immediately report suspected security breaches.

You remain responsible for all activity occurring under your Account unless prohibited by applicable law.

6.2 One Account Per Person

Unless expressly authorized by Prop Up Media LLC, users may not create multiple Individual Marketplace Accounts to:

• evade enforcement actions;
• manipulate ratings;
• avoid restrictions;
• artificially promote listings;
• engage in fraudulent activity; or
• otherwise circumvent Platform policies.

Business Accounts created for legitimate commercial purposes do not count toward this limitation.

6.3 Account Ownership

Accounts may not be sold, transferred, assigned, rented, leased, or shared without our prior written consent.

The individual or entity that registered the Account remains responsible for all activity conducted through that Account.

6.4 Account Deletion

Users may request deletion of their Account through available Platform tools.

Before an Account can be permanently deleted, the user may be required to resolve outstanding matters including, but not limited to:

• pending Meet Ups;
• unresolved disputes;
• Wallet balances;
• Appointment Hold Amounts;
• payment reversals;
• fraud investigations;
• legal requests;
• outstanding advertising obligations.

Deletion of an Account does not automatically erase records that Prop Up Media LLC is legally required or reasonably permitted to retain, including records maintained for fraud prevention, tax compliance, dispute resolution, payment processing, legal obligations, security, and business operations.

7. Identity Verification

To promote marketplace safety, reduce fraud, and protect users, No Yard Sale may offer or require identity verification.

Verification requirements may differ depending on:

• account type;
• transaction value;
• payment activity;
• Wallet usage;
• geographic location;
• suspicious activity;
• applicable legal requirements; or
• other risk factors determined by the Company.

Verification methods may include one or more of the following:

• government-issued identification;
• phone verification;
• email verification;
• payment verification;
• selfie or biometric comparison where permitted by law;
• address verification;
• business documentation;
• tax identification information;
• or other commercially reasonable verification methods.

Failure to complete required verification may limit or prevent access to certain Platform features.

Completion of identity verification does not guarantee that another user is trustworthy, financially responsible, honest, or safe to transact with.

Users remain responsible for exercising their own judgment before completing any transaction.

8. Usernames and Public Profiles

Users may be assigned or permitted to select a unique username for use on the Platform.

Usernames are intended to help identify users within the marketplace and may appear in connection with listings, messages, ratings, reviews, appointments, and other Platform features.

You may not select a username that:

• impersonates another individual or business;
• infringes intellectual property rights;
• contains offensive or discriminatory language;
• is misleading or deceptive;
• falsely suggests affiliation with No Yard Sale or Prop Up Media LLC;
• violates applicable law; or
• otherwise violates these Terms or our Community Guidelines.

Prop Up Media LLC reserves the right to:

• reject any username;
• require a username change;
• reclaim inactive usernames;
• reserve usernames for future business purposes;
• reserve usernames associated with trademarks, public figures, government agencies, emergency services, or Platform operations;
• suspend Accounts using prohibited usernames.

A public marketplace profile may display information including:

• username;
• profile image;
• ratings;
• reviews;
• marketplace activity;
• join date; and
• other information selected by the Platform.

Certain information, including private account details, Wallet information, identity verification records, payment information, reports, investigations, and internal moderation history, will not be displayed publicly.

9. Wallet Services

Certain features of the Platform may require or permit the use of a No Yard Sale Wallet ("Wallet"). The Wallet is a digital balance maintained within the Platform that may be used for eligible transactions, appointment-related holds, refunds, promotional credits, withdrawals, and other supported services.

Wallet functionality may not be available in all jurisdictions or to all users.

Prop Up Media LLC may modify, suspend, expand, restrict, or discontinue Wallet functionality at any time.

9.1 Funding Your Wallet

Users may fund their Wallet using payment methods approved by No Yard Sale.

Payment processing is provided by one or more third-party payment processors. By funding your Wallet, you authorize Prop Up Media LLC and its payment processors to charge your selected payment method for the amount you authorize, including any applicable taxes or fees disclosed at the time of the transaction.

Funds may not become immediately available due to payment verification, fraud prevention measures, banking delays, processor requirements, or technical issues.

9.2 Available Balance

Your Wallet may display multiple balances, including but not limited to:

• Available Balance
• Pending Transactions
• Appointment Hold Amounts
• Promotional Credits
• Withdrawable Balance

The balances displayed within the Platform are considered the official balances for your Account unless an error is identified.

Prop Up Media LLC reserves the right to correct accounting errors at any time.

9.3 Withdrawals

Eligible users may request withdrawal of available Wallet funds using supported withdrawal methods.

Withdrawal requests may be delayed, limited, or denied when reasonably necessary to:

• comply with applicable law;
• investigate fraud;
• resolve disputes;
• satisfy payment processor requirements;
• verify identity;
• protect Platform security;
• recover amounts owed to the Company; or
• comply with court orders or governmental requests.

Processing times may vary depending on financial institutions and payment processors.

9.4 Payment Errors

Users agree to promptly notify No Yard Sale if they believe an unauthorized or incorrect Wallet transaction has occurred.

If we determine that an error occurred, we may reverse, correct, adjust, or cancel the affected transaction where permitted by law.

9.5 Chargebacks and Payment Reversals

Users agree not to improperly dispute legitimate charges.

If a payment is reversed through a chargeback, banking dispute, payment processor reversal, or similar process, Prop Up Media LLC reserves the right to:

• recover the disputed amount;
• suspend Wallet functionality;
• suspend or terminate the Account;
• delay withdrawals;
• recover reasonable collection costs where permitted by law; and
• pursue any other remedies available under applicable law.

9.6 Third-Party Payment Processors

Payment services may be provided by one or more independent payment processors.

Your use of those services may also be subject to the processor's terms, privacy policies, and operating rules.

Prop Up Media LLC is not responsible for interruptions, delays, banking failures, payment processor outages, or financial institution errors beyond our reasonable control.

10. Appointment Hold Amounts

The Appointment Hold Amount is a configurable amount established by Prop Up Media LLC to support participation in eligible Meet Ups and the Show Up Guarantee.

The Appointment Hold Amount may be increased, decreased, or otherwise modified at any time at the sole discretion of Prop Up Media LLC without prior notice, except where notice is required by applicable law.

The current Appointment Hold Amount, if applicable, will be displayed within the Platform before a user confirms participation in an eligible Meet Up.

By requesting or accepting an eligible Meet Up, participating users authorize the Platform to place the applicable Appointment Hold Amount against eligible Wallet funds in accordance with the Show Up Guarantee Policy.

The Appointment Hold Amount is not a purchase price, escrow, insurance premium, or security deposit. It is a temporary commitment mechanism used to encourage reliable participation in eligible Meet Ups and to administer the Show Up Guarantee.

11. Meet Ups

The Platform allows users to schedule in-person meetings ("Meet Ups") to inspect, purchase, sell, donate, or exchange eligible items or services.

Meet Ups are arranged solely between participating users.

Prop Up Media LLC is not a party to any Meet Up and does not supervise, monitor, or guarantee the conduct of participants.

Users are responsible for:

• selecting an appropriate meeting location;
• arriving on time;
• communicating delays;
• complying with applicable laws;
• exercising reasonable judgment;
• protecting their personal safety;
• inspecting items before completing transactions.

Users are encouraged to meet in well-lit public locations whenever practical.

11.1 Scheduling

Appointment requests may require confirmation by both participating users.

Until both users complete any required confirmation process, no Meet Up is considered confirmed.

Meet Up availability is subject to Platform functionality and participating users.

11.2 Cancellations

Users should cancel appointments as soon as reasonably possible when they are unable to attend.

Repeated cancellations, abuse of scheduling features, or attempts to manipulate appointment availability may result in Platform restrictions.

Cancellation rules affecting Appointment Hold Amounts are governed by the Show Up Guarantee Policy.

11.3 Delays

Users experiencing unexpected delays should communicate through the Platform whenever possible.

Where supported, participating users may request or accept appointment extensions through available Platform features.

Approval of an extension is entirely voluntary and remains at the discretion of the other participant.

11.4 Arrival Verification

Where supported by the Platform, users may be required to complete one or more verification steps before a Meet Up is recognized as attended.

These verification methods may include:

• confirming arrival through the Platform;
• device location verification;
• proximity verification;
• secure verification codes exchanged between participants;
• other fraud prevention measures introduced by the Platform.

Failure to complete required verification steps may affect eligibility under the Show Up Guarantee.

11.5 Transportation

Each user is solely responsible for arranging transportation to and from any Meet Up location.

Prop Up Media LLC is not responsible for travel costs, vehicle expenses, parking fees, traffic delays, weather conditions, or transportation disruptions.

12. Show Up Guarantee

The No Yard Sale Show Up Guarantee is designed to encourage reliable participation in eligible Meet Ups.

Participation in the Show Up Guarantee is governed by a separate Show Up Guarantee Policy, which is incorporated into these Terms by reference.

Eligibility may depend on factors including:

• account standing;
• Wallet eligibility;
• Appointment Hold Amount availability;
• successful appointment scheduling;
• completion of required arrival verification;
• compliance with Platform policies;
• other eligibility requirements established by No Yard Sale.

The Show Up Guarantee is not insurance, a warranty, or a guarantee that any transaction will occur.

Participation does not guarantee:

• that another user will appear;
• that an item will be purchased;
• that an item matches its description;
• the outcome of any transaction;
• reimbursement for travel expenses;
• reimbursement for lost wages;
• compensation for inconvenience;
• compensation for incidental or consequential damages.

Prop Up Media LLC reserves the right to investigate any appointment, review available evidence, request additional information from participating users, and determine eligibility under the Show Up Guarantee in its reasonable discretion.

Attempts to abuse, manipulate, or fraudulently obtain benefits through the Show Up Guarantee may result in immediate suspension or permanent termination of the Account, forfeiture of eligibility, recovery of improperly obtained funds, and referral to law enforcement where appropriate.

The Company may modify, suspend, or discontinue the Show Up Guarantee program at any time. Changes will not affect obligations that accrued before the effective date of the change unless otherwise required by applicable law.

Nothing in the Show Up Guarantee creates an employment relationship, agency relationship, fiduciary relationship, partnership, insurance contract, escrow arrangement, or guarantee of marketplace performance between Prop Up Media LLC and any user.

13. Listings

Users are solely responsible for every Listing they publish on the Platform.

By creating a Listing, you represent and warrant that:

• you own the item or have the legal authority to sell or donate it;
• the Listing accurately describes the item or service;
• photographs accurately represent the current condition of the item;
• the Listing complies with these Terms and all applicable laws;
• you have the legal right to transfer ownership or possession of the item;
• you will honor the terms of your Listing unless circumstances beyond your reasonable control prevent you from doing so.

Listings should be truthful, complete, and kept reasonably up to date.

Users should promptly edit or remove Listings that are no longer available.

13.1 Listing Requirements

Listings should include, where applicable:

• an accurate title;
• an accurate description;
• current photographs;
• known defects or damage;
• the asking price or donation status;
• any significant limitations or conditions of sale;
• any information reasonably necessary for another user to make an informed decision.

Failure to disclose known defects or material information may result in removal of the Listing, account restrictions, or other enforcement action.

13.2 Photographs

Photographs uploaded to the Platform must:

• accurately depict the item or service;
• belong to you or be used with permission;
• not infringe the intellectual property rights of others;
• not be deceptive or materially altered to misrepresent the Listing;
• comply with our Community Guidelines.

Prop Up Media LLC may remove photographs that violate these Terms or applicable law.

13.3 Listing Availability

Users are responsible for maintaining the accuracy of Listing availability.

Once an item has been sold, donated, or otherwise becomes unavailable, the Listing should be updated or removed promptly.

The Platform may automatically expire Listings after a period determined by No Yard Sale. Users may be offered opportunities to renew, relist, promote, or otherwise extend eligible Listings.

13.4 Listing Removal

Prop Up Media LLC reserves the right, but assumes no obligation, to edit, reject, suspend, hide, limit, or remove any Listing at any time, with or without prior notice, including where we reasonably believe that a Listing:

• violates these Terms;
• violates applicable law;
• infringes intellectual property rights;
• promotes prohibited items or services;
• contains misleading information;
• duplicates another Listing;
• appears fraudulent;
• presents a safety concern;
• negatively impacts the integrity of the Platform.

Removal of a Listing does not create liability on the part of Prop Up Media LLC.

14. Services and Donation Listings

14.1 Service Listings

The Platform may permit users to advertise lawful services.

Service providers are solely responsible for:

• obtaining all required licenses;
• maintaining any required insurance;
• complying with applicable laws and regulations;
• accurately describing their qualifications;
• performing services in a professional manner.

No Yard Sale does not verify licenses, certifications, insurance coverage, experience, or qualifications unless expressly stated.

Users hire service providers entirely at their own discretion and risk.

Prop Up Media LLC does not guarantee the quality, legality, safety, availability, or outcome of any service offered through the Platform.

14.2 Donation Listings

Users may create Donation Listings for property they wish to give away without receiving payment.

Users are solely responsible for determining whether any donation may qualify for tax treatment under applicable law.

Prop Up Media LLC:

• does not provide tax advice;
• does not determine fair market value;
• does not guarantee eligibility for tax deductions;
• does not issue tax opinions.

Users should consult their own legal, tax, or financial advisors regarding any potential tax consequences associated with donated property.

15. Business Advertising

No Yard Sale may permit approved businesses to advertise products or services through Business or Marketer Accounts.

Advertising opportunities may include:

• homepage advertisements;
• marketplace advertisements;
• promotional graphics;
• rotating campaigns;
• sponsored placements;
• future advertising formats introduced by the Platform.

Advertising availability is subject to approval by Prop Up Media LLC.

Submission of an advertisement does not guarantee publication.

15.1 Advertising Standards

Advertisements must:

• comply with all applicable laws;
• accurately represent the advertiser;
• not contain deceptive claims;
• not promote illegal products or services;
• not infringe intellectual property rights;
• comply with our Community Guidelines and advertising policies.

15.2 Advertisement Approval

Prop Up Media LLC reserves the right to review, reject, modify, suspend, or remove any advertisement before or after publication for any reason consistent with applicable law, including where an advertisement:

• violates Platform policies;
• creates legal risk;
• contains offensive content;
• negatively impacts user experience;
• conflicts with the Platform's business interests.

15.3 Hyperlinks

Advertisements may contain hyperlinks directing users to external websites.

Prop Up Media LLC does not endorse, control, or assume responsibility for external websites or their content.

Users access third-party websites at their own risk.

15.4 Advertising Rotation

Where multiple approved advertising campaigns are active, the Platform may rotate advertisements using automated systems.

Advertisement rotation does not guarantee:

• equal exposure;
• equal impressions;
• equal click-through rates;
• equal conversions;
• equal placement frequency.

Advertising performance may vary based on numerous factors, including Platform traffic, campaign availability, user activity, geographic location, and future Platform enhancements.

16. Promoted Listings

Users may have the opportunity to purchase Promoted Listings to increase the visibility of eligible Listings.

A Promoted Listing is a paid promotional feature and does not guarantee:

• views;
• inquiries;
• offers;
• appointments;
• sales;
• ranking position;
• specific placement;
• revenue.

Visibility may vary based on Platform activity, available advertising inventory, user preferences, search relevance, geographic location, and other factors.

Prop Up Media LLC reserves the right to modify promotion algorithms, placement rules, pricing, duration, and eligibility requirements at any time.

17. Marketplace Transactions

All purchases, sales, donations, and service agreements occur directly between participating users.

Prop Up Media LLC is not a buyer, seller, broker, consignor, auctioneer, escrow agent, shipping company, insurer, or guarantor of any transaction unless expressly stated otherwise.

Users are solely responsible for:

• evaluating Listings;
• inspecting items before purchase;
• negotiating prices;
• confirming payment;
• complying with applicable laws;
• completing transfers of ownership;
• determining whether to proceed with any transaction.

Users should exercise reasonable caution when meeting another user.

17.1 Cash Transactions

The Platform may permit users to record that payment was completed using cash.

Recording a cash transaction does not mean that Prop Up Media LLC:

• handled the payment;
• verified the payment;
• witnessed the transaction;
• guaranteed payment;
• guaranteed the transfer of ownership.

Users remain solely responsible for verifying receipt of cash before transferring property.

17.2 In-App Payments

Where available, eligible users may complete transactions using supported payment methods through the Platform.

Payment processing is performed by third-party payment providers.

Successful payment processing does not guarantee:

• the condition of the purchased item;
• successful delivery;
• user honesty;

18. Messaging and Communications

The Platform may provide messaging features that allow users to communicate before, during, and after marketplace transactions.

Users are solely responsible for the content of their communications.

Users may not use Platform messaging to:

• harass another user;
• threaten violence;
• commit fraud;
• impersonate another person;
• distribute malicious software;
• send spam;
• engage in phishing;
• solicit illegal activity;
• circumvent Platform safety features;
• intentionally interfere with another user's use of the Platform.

Prop Up Media LLC may monitor, review, preserve, or disclose communications where reasonably necessary to:

• investigate suspected violations;
• comply with legal obligations;
• respond to lawful requests from government authorities;
• protect users;
• maintain Platform security;
• enforce these Terms.

Except as required by law or described in our Privacy Policy, we do not guarantee that user communications will be reviewed in real time.

Users should not share highly sensitive personal or financial information through Platform messaging unless reasonably necessary to complete a transaction.

19. User Conduct

All users are expected to conduct themselves honestly, respectfully, and lawfully while using the Platform.

You agree that you will not use the Platform in any manner that interferes with the rights of other users or the operation of No Yard Sale.

You further agree that you will not:

• violate any applicable law or regulation;
• submit false or misleading information;
• impersonate another person or business;
• create fake accounts;
• evade account suspensions or restrictions;
• manipulate ratings or reviews;
• interfere with another user's transaction;
• harass, intimidate, threaten, stalk, or abuse another user;
• engage in hate speech or discriminatory conduct;
• upload viruses, malware, spyware, ransomware, or malicious code;
• attempt unauthorized access to any account or system;
• reverse engineer, decompile, or attempt to extract source code from the Platform except where expressly permitted by law;
• interfere with Platform security or performance;
• use automated bots, crawlers, scripts, or scraping tools without our prior written authorization;
• circumvent Platform safeguards, fraud prevention systems, or payment protections;
• engage in phishing or social engineering;
• distribute spam or unsolicited commercial communications outside of approved advertising services;
• use the Platform for money laundering, terrorist financing, or other unlawful financial activity;
• encourage or assist another person in violating these Terms.

Users are responsible for complying with all applicable laws governing the purchase, sale, donation, advertisement, or provision of goods and services.

20. Prohibited Items and Services

Users may not post, advertise, offer, request, or facilitate transactions involving prohibited items or services.

Examples include, but are not limited to:

• illegal drugs or controlled substances;
• counterfeit goods;
• stolen property;
• recalled products that may not legally be resold;
• illegal weapons or prohibited weapon accessories;
• explosives or destructive devices;
• hazardous chemicals;
• human organs or human remains;
• government-issued identification documents;
• prescription medications where prohibited;
• illegal gambling services;
• fraudulent financial products;
• pyramid or Ponzi schemes;
• adult services that violate applicable law;
• wildlife or protected species offered in violation of applicable law;
• products or services that infringe intellectual property rights;
• any item or service prohibited by applicable law.

Additional restrictions are described in our Prohibited Items Policy.

Prop Up Media LLC may remove any Listing that we reasonably believe violates these Terms or creates legal, safety, or reputational risk for the Platform.

21. User Content

Users retain ownership of the original content they submit to the Platform.

This includes, where applicable:

• photographs;
• videos;
• listing descriptions;
• messages;
• usernames;
• reviews;
• ratings;
• advertisements;
• business information;
• profile information;
• comments; and
• other original content.

By submitting User Content to the Platform, you grant Prop Up Media LLC a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display, publicly perform, and otherwise use such User Content for the purpose of:

• operating the Platform;
• improving the Platform;
• providing customer support;
• investigating fraud;
• enforcing these Terms;
• marketing and promoting No Yard Sale;
• developing future products and services;
• complying with legal obligations.

This license continues for as long as reasonably necessary to operate the Platform and maintain business records, even if you later delete your Account, to the extent permitted by applicable law.

You represent and warrant that:

• you own or control all rights necessary to submit the User Content;
• your User Content does not infringe the rights of another person;
• your User Content complies with applicable law;
• your User Content complies with these Terms.

21.1 Content Moderation

Prop Up Media LLC reserves the right, but assumes no obligation, to review, edit, restrict, remove, or refuse User Content that we reasonably believe:

• violates these Terms;
• violates our Community Guidelines;
• violates applicable law;
• infringes intellectual property rights;
• contains misleading information;
• creates safety concerns;
• interferes with Platform operations.

Content removal does not create liability on the part of Prop Up Media LLC.

22. Intellectual Property

Except for User Content owned by users, all intellectual property associated with the Platform is owned by or licensed to Prop Up Media LLC.

This includes, but is not limited to:

• No Yard Sale;
• Norman the No Yard Sale Gnome;
• logos;
• trademarks;
• service marks;
• trade dress;
• software;
• source code;
• object code;
• user interface designs;
• graphics;
• illustrations;
• animations;
• icons;
• photographs created by the Company;
• videos created by the Company;
• marketing materials;
• website design;
• mobile application design;
• text created by the Company;
• databases;
• compilations;
• documentation.

Nothing contained within the Platform grants users ownership of any Company intellectual property.

Users may not reproduce, distribute, modify, publicly display, create derivative works from, sell, license, scrape, reverse engineer, or otherwise exploit Company intellectual property without prior written permission from Prop Up Media LLC.

Unauthorized use may result in legal action.

22A. Copyright Policy and Intellectual Property Claims

Prop Up Media LLC respects the intellectual property rights of others and expects users of the Platform to do the same.

If you believe that content available on the Platform infringes your copyright or other intellectual property rights, you may submit a written notice to us that includes sufficient information to identify:

• the copyrighted work or intellectual property claimed to have been infringed;
• the material alleged to be infringing;
• the location of the material on the Platform;
• your contact information;
• a statement that you have a good faith belief the use is not authorized by the rights holder, its agent, or applicable law;
• a statement, under penalty of perjury where applicable, that the information provided is accurate and that you are authorized to act on behalf of the rights holder.

Upon receiving a compliant notice, Prop Up Media LLC may investigate the claim and, where appropriate, remove, disable access to, or otherwise restrict the allegedly infringing material.

Users who repeatedly infringe the intellectual property rights of others may have their Accounts suspended or permanently terminated.

22B. Future Platform Features

No Yard Sale is an evolving technology platform.

Prop Up Media LLC may introduce, modify, replace, suspend, or discontinue features, functionality, tools, payment options, advertising services, marketplace protections, communication methods, artificial intelligence features, safety tools, verification methods, subscription offerings, premium services, or other Platform capabilities at any time.

The introduction of new features does not require amendment of these Terms unless required by applicable law.

Your continued use of newly introduced features constitutes acceptance of any additional policies or feature-specific terms that may apply.

23. Ratings and Reviews

Eligible users may have the opportunity to rate and review other users following completed marketplace interactions.

Ratings and reviews should:

• reflect genuine personal experiences;
• be truthful;
• be relevant;
• avoid abusive or discriminatory language;
• avoid personal attacks unrelated to the transaction.

Users may not:

• purchase reviews;
• sell reviews;
• exchange reviews for compensation;
• create fake reviews;
• manipulate ratings;
• pressure another user into leaving a review.

Prop Up Media LLC reserves the right to remove or restrict reviews that violate these Terms, our Community Guidelines, or applicable law.

We are not responsible for opinions expressed by users in ratings or reviews.

24. Fraud Prevention

Maintaining a trustworthy marketplace is a core objective of No Yard Sale.

To protect users and the Platform, Prop Up Media LLC may employ fraud detection systems, identity verification tools, automated monitoring, manual review, transaction analysis, location verification, payment verification, and other commercially reasonable security measures.

We reserve the right to:

• investigate suspicious activity;
• request additional documentation;
• delay transactions;
• freeze Wallet functionality;
• temporarily restrict Platform access;
• require additional identity verification;
• cancel appointments;
• remove Listings;
• suspend advertising campaigns;
• deny withdrawals;
• permanently terminate Accounts;
• cooperate with financial institutions and law enforcement agencies where appropriate.

Users agree to cooperate with reasonable fraud investigations.

Failure to cooperate may result in suspension or termination of Platform access.

25. Suspension and Termination

Prop Up Media LLC reserves the right to suspend, restrict, or terminate any Account or access to the Platform at any time where reasonably necessary to:

• enforce these Terms;
• investigate fraud;
• protect users;
• protect Platform security;
• comply with applicable law;
• respond to legal process;
• address repeated policy violations;
• prevent abuse of Platform features;
• protect Company property or intellectual property;
• maintain marketplace integrity.

Suspension may be temporary or permanent.

Certain enforcement actions may occur without prior notice where immediate action is reasonably necessary to protect users or the Platform.

Users whose Accounts are suspended or terminated remain responsible for obligations that arose before suspension or termination, including payment obligations, dispute resolution, indemnification obligations, and compliance with these Terms.

Prop Up Media LLC is not obligated to restore suspended Accounts.

Nothing in these Terms limits our ability to pursue any other remedies available under applicable law.

26. Reporting Violations

Users are encouraged to report Listings, messages, advertisements, reviews, or other activity that appears to violate these Terms, applicable law, or Platform policies.

Prop Up Media LLC will review reports as resources reasonably permit.

Submission of a report does not guarantee that content will be removed or that enforcement action will be taken.

Users may not knowingly submit false, misleading, or malicious reports intended to harass another user or interfere with legitimate marketplace activity.

Abuse of the reporting system may result in enforcement action against the reporting user.

27. Taxes

Users are solely responsible for determining, collecting, reporting, and paying any taxes arising from their use of the Platform, including but not limited to:

• sales tax;
• use tax;
• income tax;
• self-employment tax;
• business taxes;
• value-added tax (VAT), where applicable; and
• any other applicable governmental fees or assessments.

Prop Up Media LLC does not provide tax advice.

Users should consult qualified tax professionals regarding their individual obligations.

Nothing in these Terms creates a tax reporting obligation on the part of Prop Up Media LLC except where required by applicable law.

28. Electronic Communications

By creating an Account or using the Platform, you consent to receive electronic communications from Prop Up Media LLC.

These communications may include:

• account notifications;
• appointment reminders;
• message notifications;
• Wallet activity;
• payment confirmations;
• listing expiration reminders;
• security alerts;
• policy updates;
• customer support communications;
• legal notices;
• service announcements;
• marketing communications, where permitted by law.

Communications may be delivered through:

• email;
• push notifications;
• in-app notifications;
• SMS text messages, where available and with any required consent;
• the Platform itself.

You are responsible for maintaining accurate contact information.

You may opt out of certain non-essential marketing communications through your account settings or by following the unsubscribe instructions provided. However, you may not opt out of transactional, security, legal, or other communications that are necessary to administer your account or provide the Services.

29. Mobile Applications

No Yard Sale may be available through mobile applications for supported devices and operating systems.

Your use of the mobile applications is also subject to the terms, conditions, and policies of the applicable app store or operating system provider, including but not limited to Apple and Google.

Prop Up Media LLC does not guarantee that the Platform will function on every device, operating system version, or hardware configuration.

You are responsible for:

• maintaining compatible devices;
• installing updates;
• maintaining internet connectivity;
• paying any applicable data charges imposed by your mobile carrier.

We may release updates, bug fixes, security patches, or new features at any time. Continued use of outdated versions of the application may limit functionality or prevent access to certain Services.

30. Third-Party Services

The Platform may integrate with or provide access to third-party products or services, including payment processors, mapping services, notification providers, analytics providers, cloud hosting providers, and other technology vendors.

Your use of third-party services may be governed by the terms and privacy policies of those third parties.

Prop Up Media LLC is not responsible for:

• third-party websites;
• third-party applications;
• third-party payment processors;
• third-party mapping or navigation services;
• third-party outages;
• third-party data practices;
• third-party products or services beyond our reasonable control.

Links to third-party websites are provided solely for user convenience and do not constitute an endorsement by Prop Up Media LLC.

31. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.

By using the Platform, you acknowledge that you have reviewed our Privacy Policy.

If there is a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy will govern with respect to those privacy matters.

32. Availability of the Services

While we strive to provide a reliable Platform, we do not guarantee uninterrupted access to the Services.

The Platform may become unavailable due to:

• scheduled maintenance;
• emergency maintenance;
• internet outages;
• payment processor interruptions;
• cloud infrastructure failures;
• telecommunications failures;
• cyberattacks;
• software defects;
• hardware failures;
• governmental actions; or
• other circumstances beyond our reasonable control.

Prop Up Media LLC reserves the right to modify, suspend, discontinue, or replace any feature of the Platform at any time.

We will make reasonable efforts to minimize disruptions when practical.

33. Force Majeure

Prop Up Media LLC shall not be liable for any delay, interruption, or failure to perform resulting from events beyond our reasonable control.

Such events may include, but are not limited to:

• natural disasters;
• severe weather;
• floods;
• fires;
• earthquakes;
• pandemics;
• public health emergencies;
• acts of terrorism;
• war;
• civil unrest;
• labor disputes;
• internet failures;
• utility failures;
• governmental actions;
• payment processor outages;
• cyberattacks;
• denial-of-service attacks;
• failures of third-party providers.

Our obligations under these Terms will be suspended for the duration of the force majeure event to the extent affected.

34. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROP UP MEDIA LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• TITLE;
• ACCURACY;
• RELIABILITY;
• AVAILABILITY;
• SECURITY;
• QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, PROP UP MEDIA LLC DOES NOT WARRANT THAT:

• THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION;
• ERRORS WILL BE CORRECTED;
• LISTINGS ARE ACCURATE;
• USERS WILL ACT HONESTLY;
• TRANSACTIONS WILL BE COMPLETED;
• ITEMS WILL MATCH THEIR DESCRIPTIONS;
• SERVICES WILL MEET YOUR EXPECTATIONS;
• THE PLATFORM WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU USE THE PLATFORM AT YOUR OWN RISK.

35. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROP UP MEDIA LLC, NO YARD SALE, ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO:

• YOUR USE OF THE PLATFORM;
• ANY MARKETPLACE TRANSACTION;
• USER CONDUCT;
• LOST PROFITS;
• LOST BUSINESS OPPORTUNITIES;
• LOST DATA;
• LOST GOODWILL;
• BUSINESS INTERRUPTION;
• PERSONAL INJURY;
• PROPERTY DAMAGE;
• PAYMENT PROCESSOR FAILURES;
• THIRD-PARTY SERVICES;
• UNAUTHORIZED ACCOUNT ACCESS;
• FRAUD COMMITTED BY OTHER USERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(a) THE TOTAL FEES PAID BY YOU TO PROP UP MEDIA LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(b) ONE HUNDRED UNITED STATES DOLLARS (US $100.00).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

36. Indemnification

You agree to defend, indemnify, and hold harmless Prop Up Media LLC, No Yard Sale, and each of their respective affiliates, members, managers, officers, directors, employees, contractors, licensors, successors, assigns, and agents from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• your use of the Platform;
• your Listings;
• your advertisements;
• your User Content;
• your transactions;
• your Meet Ups;
• your violation of these Terms;
• your violation of applicable law;
• your infringement of another person's rights.

Prop Up Media LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification.

37. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Subject to any applicable arbitration provision or mandatory consumer protection laws, any legal action arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Dallas County, Texas.

You consent to the personal jurisdiction of those courts.

37A. Dispute Resolution; Arbitration; Class Action Waiver

We encourage users to contact Prop Up Media LLC before initiating formal legal proceedings so that we may attempt to resolve disputes informally.

To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally may be resolved through binding arbitration administered by a mutually acceptable arbitration provider rather than in court.

Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or other rights requiring immediate judicial intervention.

Unless prohibited by applicable law, you and Prop Up Media LLC agree that any arbitration or legal proceeding shall be conducted solely on an individual basis.

You waive any right to participate as a plaintiff or class member in any purported class action, collective action, consolidated action, representative action, or private attorney general action against Prop Up Media LLC.

If any portion of this arbitration or class action waiver is determined to be unenforceable under applicable law, the remaining provisions shall continue to the fullest extent permitted.

Because arbitration and consumer protection laws vary by jurisdiction and may change over time, Prop Up Media LLC recommends that this section be interpreted consistent with applicable law and updated as necessary.

38. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

The invalid provision shall be modified only to the minimum extent necessary to make it enforceable while preserving its original intent whenever possible.

39. No Waiver

Failure by Prop Up Media LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Prop Up Media LLC.

40. Entire Agreement

These Terms, together with our Privacy Policy, Show Up Guarantee Policy, Payment & Wallet Policy, Community Guidelines, Prohibited Items Policy, and any additional policies or legal notices incorporated by reference, constitute the entire agreement between you and Prop Up Media LLC regarding your use of the Platform.

These Terms supersede all prior agreements, understandings, communications, and representations relating to the Platform.

41. Changes to These Terms

Prop Up Media LLC may modify these Terms from time to time to reflect changes in our Services, business operations, legal requirements, security practices, or marketplace features.

When material changes are made, we will provide notice through the Platform or by other reasonable means.

The updated Terms will identify a new Effective Date.

Your continued use of the Platform after revised Terms become effective constitutes your acceptance of those revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Platform.

Google Maps and Places

Safe Meetup Locations may display place information supplied by Google Places and links to Google Maps. Use of this feature is also subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. Place information may change; confirm hours and conditions before meeting.

43. 2026 Product Systems and Records Update

43.1 Ask Norman AI

Ask Norman is a feature-flagged artificial-intelligence assistant. It may be unavailable, limited to authorized internal testing, or made public in phases. It can make mistakes. Do not rely on it for emergencies, legal advice, financial advice, or as a substitute for reviewing your transaction and account records. When an Ask Norman answer conflicts with these Terms, an official policy, or a record in your No Yard Sale account, the official policy and account record control.

No Yard Sale may use a third-party AI service to process a prompt and generate a response. Submit only information reasonably necessary for the question. Never submit passwords, payment credentials, government identification numbers, or another person's confidential information. Product safeguards, usage limits, diagnostics, and human support escalation may apply.

43.2 Safe Meetup Location Classifications

No Yard Sale uses three public classifications: Verified Safe Exchange Zone, Suggested Public Meetup Location, and Custom Meetup Location. A Verified Safe Exchange Zone means No Yard Sale reviewed an official facility source; it does not promise staffing, availability, operating hours, police presence, or safety. A Suggested Public Meetup Location is a public-place result and has not been verified as an official safe-exchange zone. A Custom Meetup Location is entered or selected by a user and is not verified by No Yard Sale.

Searches may use Google Maps Platform and may send an approximate search area, address, or place query to Google. Confirm hours, access, and current conditions yourself. A map result or external link is not an endorsement or guarantee.

43.3 Payment-Confirmed Meetup Completion

Arrival verification does not by itself establish that a purchase occurred. For a cash transaction, the seller enters the amount received and the buyer independently enters the amount paid. The meetup remains unresolved if the entries do not match. For an in-app wallet transaction, the seller sends a payment request and the buyer pays it from available wallet funds. If available funds are insufficient, the buyer must fund the wallet before paying. The marketplace flow is complete only after the applicable payment record is confirmed.

An Appointment Hold Amount is a behavioral commitment hold. It is separate from a purchase price, payment authorization, escrow, deposit, or sale proceeds.

43.4 Conversation Copies, Retention, and System Records

Removing a conversation removes or hides that user's copy; it does not necessarily delete the other participant's copy. User messages become eligible for permanent deletion only after both participants remove the conversation and the configured retention period has passed (currently 60 days after the final appointment event). Unresolved payments, disputes, reports, safety investigations, legal obligations, or preservation holds may extend retention. System-generated appointment, arrival, payment, moderation, and audit events may be retained independently as platform records.

43.5 Support, Providers, Advertising, and Record Hierarchy

Signed-in support requests are handled through the in-app support system. Guest requests may be sent and answered through No Yard Sale's Google Workspace/Gmail support channel. Support messages, routing metadata, case history, and attachment metadata may be retained to operate, secure, and audit support. Do not send unnecessary sensitive information.

No Yard Sale uses service providers for hosting, authentication, payments, maps/places, email, push notifications, storage, and AI processing. Provider links and services are governed by their own terms and privacy practices. Paid advertising cannot purchase a Verified Safe Exchange Zone classification, affect appointment verification, alter trust or safety decisions, or override marketplace records. Sponsored or paid placement must be identified as such.
